Notice is hereby given that the Annual General Meeting of Milton Ulladulla Football Club Incorporated will be held on Monday 19th October 2020 in the Clubroom, Lighthouse Oval, Ulladulla at 6.30 pm.

SPECIAL RESOLUTION
“That Clause 13 - Composition of the Committee of the Constitution of Milton Ulladulla Football Club Incorporated (Club) be replaced by the following:
13. COMPOSITION OF THE COMMITTEE
13.1 Composition of the Committee
(a) The Committee shall comprise up to ten (10) Directors all of whom must be Members of the Club and shall be elected under clause 14 at the Annual General Meeting of the Club held each year in accordance with clause 21.
(b) The Committee shall, as soon as reasonably practicable after the Annual General Meeting held each year, elect from their number, the following office bearers:
• Executive Director (whose powers and duties are prescribed at clause 18)
• Secretary
• Treasurer
• Club Captain
• Publicity Officer
and shall, as soon as reasonably practicable after that election, post the names of the elected office bearers on the Club website.
13.2 Appointed Director
The Committee may appoint up to one (1) Appointed Director under clause 15.”
EXPLANATORY MESSAGE
The primary reason for the above proposed amendment is to delete the last sentence of current sub-clause 13.1 of the Constitution which, in effect, means that an MUFC Director cannot represent the Club at meetings of Shoalhaven District Football Association Inc (Association).
• The last sentence of sub-clause 13.1 currently states ‘A Director cannot also be a Delegate’, a Delegate being defined under sub-clause 2.1 as ‘the person(s) appointed from time to time to act for and on behalf of the Club and to represent the Club at Association General Meetings’.
• The Club’s Constitution is modelled on the Association’s Constitution. In the Association context, the provision that ‘A Director cannot also be a Delegate’, would prohibit an Association Director from also being a formal Delegate of a club of which he or she may be a member. Such a provision is neither relevant nor practically applicable to MUFC (or any other club in the Association) and should be deleted.
Other proposed amendments to clause 13 (including deletion of sub-clause 13.3) are minor and editorial in nature. These amendments are designed to simplify clause 13 and make it easier to read - they do not change the substance or intended effect of clause 13.
NOTES TO MEMBERS
1. All Life Members and Members of the Club are entitled to vote on the Special Resolution.
2. To be passed, the Special Resolution must receive votes in favour from not less than three-quarters (75%) of those members who, being eligible to do so, vote in person at the meeting.
3. As a result of the Special Resolution provisions of the Incorporated Associations Act 2009, the Special Resolution must be considered as a whole and cannot be altered by motions from the floor of the meeting.
4. Members should read the Explanatory Message following the Special Resolution which explains the nature and effects of the amendment to clause 13 contained in the Special Resolution.
5. A copy of the current Constitution of Milton Ulladulla Football Club Incorporated (14 October 2019) is posted with this notice.
